Catalytica Announces Date of Closing of Acquisition By DSM And Spin-Off Of Catalytica Energy Systems

Catalytica, Inc. (Nasdaq: CTAL) today announced that it expects to close the acquisition by DSM N.V. and spin off Catalytica Energy Systems after the close of business on Friday, December 15, 2000. Stockholders of record as of the close of business on December 15, 2000 will receive both the cash consideration to be paid in the acquisition and the shares of Catalytica Energy Systems in the spin-off. For each share of Catalytica, Inc. owned on December 15, Catalytica, Inc. shareholders are expected to receive between $9.26 to $10.44 in cash in the merger and between .13 to .18 shares of Catalytica Energy Systems in the spin-off. Prior to the closing, Catalytica, Inc. will invest $50,000,000 to purchase shares of Catalytica Energy Systems at a price of not less than $10.00 per share of Catalytica Energy Systems. Catalytica Energy Systems shares have been listed for trading on the Nasdaq National Market under the ticker symbol CESI.
