New Supervisory Board of LANXESS AG

02-Jun-2010 - Germany

The Annual Stockholders’ Meeting of Lanxess AG on Friday, May 28, 2010, elected the stockholders’ representatives on the new Supervisory Board, which has been reduced in size from 16 to 12 members.

Newly elected to the Supervisory Board was Theo H. Walthie (Senior Energy Advisor, Dow Chemical Company). The stockholders confirmed the appointments of Dr. Friedrich Janssen (Member of the Board of Management of E.ON Ruhrgas AG), Robert J. Koehler (Chairman of the Board of Management of SGL Carbon SE), Rainer Laufs (Consultant and former Chairman of the Management Board of Deutsche Shell AG), Dr. Ulrich Middelmann (former Vice Chairman of the Executive Board of ThyssenKrupp AG) and Dr. Rolf Stomberg (former member of the Board of Directors of The British Petroleum Co. p.l.c.).

The following former members are no longer serving on the Supervisory Board: Dr. Jürgen F. Kammer (former Chairman of the Managing Board and Supervisory Board of Süd-Chemie AG), Dr. Sieghardt Rometsch (Chairman of the Supervisory Board of HSBC Trinkaus & Burkhardt AG) and Lutz Lingnau (consultant and former member of the Board of Management of Schering AG).

The employees’ representatives were recently elected by LANXESS employees in Germany. The new member is Axel Berndt (Leverkusen Works Council). Wolfgang Blossey (Hannover District Secretary of the German Mine, Chemical and Power Workers’ Union), Dr. Rudolf Fauss (Chairman of the LANXESS Managerial Employees’ Committee), Ulrich Freese (Vice Chairman of the German Mine, Chemical and Power Workers’ Union), Hans-Jürgen Schicker (Chairman of the Uerdingen Works Council) and Gisela Seidel (Chairwoman of the Dormagen Works Council) were reelected. Werner Czaplik (Chairman of the Central Works Council), Ralf Deitz (Leverkusen Works Council) and Rainer Hippler (Chairman of the Group Works Council) are no longer serving as employee representatives on the Supervisory Board.

The term of office of the newly elected Supervisory Board runs until the end of the 2015 Annual Stockholders’ Meeting. The size of the Supervisory Board was reduced because the number of permanent employees of the LANXESS Group in Germany has fallen below 10,000. The statutory number of Supervisory Board members in this case is 12.

The composition of the Supervisory Board of LANXESS Deutschland GmbH is identical to that of LANXESS AG.
