Bruker AXS Announces Agreement to Acquire Elemental Analysis Company JUWE Laborgeraete GmbH

Bruker AXS GmbH announced that it has signed an agreement to acquire all of the equity of privately-held JUWE Laborgeraete GmbH from its founders. A stock purchase agreement was signed on December 21, 2007 and the transaction is expected to close in the first quarter of 2008. JUWE's estimated 2007 revenue was approximately $3 million. Purchase price details were not disclosed.

JUWE was established in 1997 by a dedicated group of founders with many years of experience in combustion analysis of the CHNOS light elements (Carbon, Hydrogen, Nitrogen, Oxygen, and Sulfur), as a successor organization to Stroehlein AG, which closed down in 1997. JUWE initially provided service and support for the large installed base of Stroehlein systems, and in 2004 launched a new generation of JUWE-branded combustion analysis systems. JUWE, located in Viersen, Germany, today develops, manufactures and distributes advanced combustion analysis systems for various C, H, N, O and S elemental analysis applications used in: metals foundries and processing; organic chemistry, pharma production, refineries; petrochemistry; aerospace, automotive and power industries; electrical and mechanical engineering companies; semiconductor technology; steel and building construction, bridge construction; raw and basic materials, ceramics; and materials research institutes.

After the closing of the planned acquisition of JUWE by Bruker AXS in early 2008, it is anticipated that a renamed Bruker JUWE GmbH will systematically transfer its R&D, production, service and customer appli-cations, demonstration and training center to Kalkar, Germany. At the combined Kalkar facility, Bruker JUWE together with spark-OES company Bruker Quantron GmbH will form a center of excellence for elemental analysis, particularly for metals analysis applications.

Bruker AXS will contribute its global distribution, demonstration and ser-vice capabilities, as well as R&D and operating management assistance, in order to further accelerate the revenue and margin growth of Bruker JUWE. Many of the successful distributors of JUWE are expected to be retained and will benefit from support provided by additional regional Bruker AXS elemental analysis applications and service centers world-wide.
